Awee Terms of Service

These Terms of Service (“Terms”) govern access to and use of (i) the website at https://awee.ai/ and (ii) the Awee Desktop application (together, the “Service”).

The Service is provided by Ibertech, MB (operating as Awee) (“Awee”, “we”, “us”). Governing jurisdiction: Lithuania (EU).

By downloading, installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) Definitions

  • “Account”: an Awee account associated with an email address and name.
  • “App”: Awee Desktop for macOS and Windows (Linux planned; mobile planned).
  • “AI Provider”: any third-party AI provider, model, or endpoint that you select or configure, including integrated providers (e.g., OpenAI, Anthropic, xAI, Google, OpenRouter) and local/self-hosted OpenAI-compatible servers (e.g., via Ollama).
  • “Credits”: usage units offered by Awee for certain models/options.
  • “Consumer”: a natural person acting outside their trade, business, craft, or profession.
  • “Perpetual License”: the one-time purchase license described in Section 7.
  • “Service”: the website and App.
  • “Shared Content”: any conversation and/or AI profile you choose to share via a public link.
  • “User Content”: content you submit, upload, transmit, generate, store, or share using the Service (including prompts, messages, files, AI profiles, conversations, and Shared Content).

2) Eligibility and authority

2.1 Eligibility. You must be legally capable of entering into these Terms. 2.2 Using on behalf of an organization. If you use the Service on behalf of a company or other entity, you represent you have authority to bind that entity, and “you” includes that entity. 2.3 Consumer rights. If you are a Consumer, mandatory consumer protection laws may provide you with rights that cannot be waived or limited. Nothing in these Terms limits those mandatory rights.

3) Accounts

3.1 Account optional / required.

  • You may use certain parts of the App without an Account when on 14 days trial license.
  • An Account is required to use free AI models offered through Awee and some cloud features (e.g., sharing). 3.2 Account information and security. You are responsible for keeping your Account information accurate and maintaining confidentiality of login credentials and access to your email account.

4) The Service

4.1 What Awee provides. Awee Desktop is a desktop application for working with AI from one place, including model switching, AI profiles, conversation history and search, spend tracking, Diary Mode, and optional web search with sources. 4.2 Processing modes.

  • Provider-based processing: If you select an AI Provider and submit prompts/messages, your User Content is transmitted to that AI Provider for processing. This can occur using your own API key or using Awee Credits, depending on model and your choice.
  • Offline/local processing (optional): You may configure local models or OpenAI-compatible servers so some requests run locally on your device. Your local setup (and anything you install/run) is your responsibility. 4.3 No professional advice. AI-generated outputs may be inaccurate or incomplete. You are responsible for verifying outputs before relying on them, especially for medical, legal, financial, or safety-critical uses. 4.4 No enterprise commitments. Unless agreed in writing, Awee does not provide SSO, SOC 2, HIPAA compliance, SLAs, team management, or centralized administration.

5) Third-party services (AI Providers, payments, email)

5.1 AI Provider terms apply. Your use of any AI Provider is also governed by that provider’s terms and policies. You are responsible for complying with them. 5.2 Awee not responsible for AI Provider actions. Awee does not control AI Providers and is not responsible for their availability, security, retention, or use of data you send to them. 5.3 Payments and invoicing. Payments are processed by Stripe. Awee does not collect business details for invoicing; Stripe collects the information needed to generate invoices/receipts. 5.4 Email delivery. Awee uses Gmail accounts for internal handling and Mailgun to send certain emails (account/service communications).

6) Acceptable use

You agree not to (and not to allow others to): a) use the Service in violation of law or regulation; b) infringe or violate others’ rights (including IP, privacy, or publicity rights); c) submit, generate, or share unlawful, harmful, abusive, hateful, harassing, defamatory, or otherwise objectionable content; d) attempt to gain unauthorized access to the Service or related systems; e) interfere with or disrupt the Service (including bypassing access controls or rate limits); f) reverse engineer, decompile, or disassemble the Service except where prohibited by applicable law; g) use the Service to facilitate spam, phishing, fraud, malware, or other security threats; h) share content via public links that you do not have the right to share, including confidential information or personal data you are not authorized to disclose.

Awee may suspend or terminate access where reasonably necessary to enforce these Terms, protect the Service/users/third parties, prevent abuse, or comply with law.

7) Trial, licensing, delivery, and refunds

7.1 14-day trial (no credit card required). Awee offers a 14-day trial. Awee may take reasonable steps to prevent repeated trial use. 7.2 Perpetual License (what you buy). Upon successful payment, Awee grants you a Perpetual License to install and use the App, subject to these Terms. 7.3 License scope (single user; up to 2 devices).

  • The Perpetual License is for one (1) user.
  • That user may install and use the App on up to two (2) devices they own or control (for example, a desktop and a laptop).
  • The license may not be shared, resold, sublicensed, rented, leased, or transferred, except where mandatory law allows.
  • Awee may use technical measures to validate licenses and prevent abuse. 7.4 Credits (if offered).
  • Credits may be offered for access to certain models/features.
  • Credits are non-transferable, have no cash value, and are not redeemable for money, except where required by law.
  • Additional rules may be shown at checkout or in-product. 7.5 Immediate delivery and EU Consumer withdrawal waiver (important).
  • Immediate delivery: after purchase, the license is delivered/activated immediately (digital delivery).
  • EU Consumers: if you are a Consumer in the EU/EEA/UK and you buy digital content/services online, you may normally have a 14-day right of withdrawal. Because Awee delivers the license immediately, you will be asked at checkout to expressly consent to immediate performance and acknowledge that you lose your right of withdrawal once performance begins. After you provide that consent and acknowledgement and delivery begins, the withdrawal right is lost to the extent permitted by law.

7.6 No refunds.

  • All sales are final. To the maximum extent permitted by law, Awee does not offer refunds once your license is delivered/activated.
  • Nothing in this section limits mandatory rights (for example, remedies for non-conformity/defects that cannot be excluded under consumer law).

7.7 Taxes. Ibertech, MB is not a VAT payer. Taxes (if any) may be determined/collected by the payment processor depending on your location and applicable law.

7A) EU/EEA/UK Consumer updates and digital conformity (Consumer rights)

This Section 7A applies only if you are a Consumer and live in the EU/EEA or the United Kingdom, and you purchased the App for personal use. It is intended to reflect mandatory consumer rules for digital content/services. If this Section 7A conflicts with other parts of these Terms, this Section 7A controls for Consumers to the extent required by law.

7A.1 Digital conformity (no refunds policy; statutory remedies only)

Awee will provide the App in conformity with these Terms and applicable mandatory consumer laws.

No refunds: Awee does not offer refunds. Nothing in this Section creates a right to a cash refund, except where a refund is explicitly required by mandatory law.

If the App is not in conformity, your remedies are limited to the remedies required by applicable law, which may include (depending on your country and the circumstances):

  • bringing the App into conformity (for example, by providing a fix or update), and
  • if that is not possible or not done within a reasonable time, a proportionate price reduction or termination of the contract, as provided by applicable law.

7A.2 Updates (security and functionality)

(a) Security and conformity updates. Where required by applicable law, Awee will make available updates, including security updates, that are necessary to keep the App in conformity.

(b) Feature updates and optional renewal. Awee may release new features and improvements over time. Access to certain feature updates after your initial eligibility period may depend on your optional renewal plan (see Section 7.4). This does not affect mandatory security/conformity updates where required by law.

(c) You must install updates. You are responsible for installing updates that Awee makes available. If you fail to install updates within a reasonable time, Awee may not be responsible for any lack of conformity caused solely by your failure to install those updates, to the extent permitted by law and provided you were informed about the update and the consequences of not installing it.

7A.3 Compatibility and environment

The App requires compatible hardware, operating system version, and internet access for provider-based features. If lack of conformity is caused by your digital environment (for example, unsupported OS version, modified system libraries, third-party security tools, or network restrictions), your statutory remedies may be limited to the extent provided by law.

7A.4 Third-party services and AI Providers

Some features depend on third-party services (including AI Providers). Changes or outages of third-party services may affect certain functions. Where consumer law requires, Awee will inform you of material changes that significantly and negatively impact core App functionality under Awee’s control. Awee is not responsible for third-party services outside of Awee’s control, to the extent permitted by law.

7A.5 Support and how to report issues

To report a conformity issue or request support, contact support@awee.ai. Awee may ask for information reasonably necessary to diagnose the issue (for example, your App version, operating system version, and steps to reproduce).

8) User Content and sharing

8.1 Your rights. You retain your rights in your User Content as between you and Awee. 8.2 License to operate the Service. You grant Awee a limited, worldwide, non-exclusive license to host, store, process, and transmit User Content only as needed to provide, maintain, and secure the Service (including enabling sharing features you choose to use). This license ends when the relevant content is deleted from Awee systems, subject to legal/operational retention described in the Privacy Policy. 8.3 Public sharing links (Shared Content).

  • Sharing creates a public link accessible to anyone with the link.
  • Shared links contain only the shared conversation/profile content and do not include your Account name or Account identifier.
  • Unsharing: you can stop sharing by removing the shared item from Awee’s cloud storage.
  • No recall: if someone has already accessed Shared Content or copied it, it may not be possible to delete or retrieve copies held by third parties.
  • Awee removal right: Awee may disable or remove Shared Content and related links if it reasonably believes the content violates these Terms, infringes rights, is unlawful, or is necessary for security, abuse prevention, or legal compliance. 8.4 Local storage. The App may store conversations locally on your device. You are responsible for securing your device and backups.

9) Privacy, analytics, and logs

9.1 Privacy Policy. Personal data processing is described in the Privacy Policy available on https://awee.ai/. If there is a conflict between these Terms and the Privacy Policy regarding personal data, the Privacy Policy controls. 9.2 Analytics. Awee uses self-hosted analytics hosted in the EU for general app and feature usage measurement. There is currently no opt-out. 9.3 Logs. Diagnostic logs are submitted only when you choose to submit them (no automatic log submission by default).

10) Security

10.1 TLS in transit. Awee uses TLS to encrypt network traffic to Awee servers and connected AI Providers. 10.2 OS secure storage. Licenses and sensitive tokens/keys are stored using secure storage provided by your operating system (where supported). 10.3 Your responsibilities. You are responsible for securing your devices, keeping API keys confidential, and controlling access to your Account/email.

11) Suspension and termination

11.1 By you. You may stop using the Service at any time. 11.2 By Awee. Awee may suspend or terminate your access if it reasonably believes you have violated these Terms, your use poses a security/legal risk, or Awee must do so to comply with law. 11.3 Effect. Upon termination, your rights to use the Service end. Cloud features (including shared links) may be disabled.

12) Intellectual property and feedback

12.1 Awee IP. The Service (software, design, features, logos, documentation) is owned by Awee or its licensors and protected by law. Except for the license granted in Section 7, no rights are granted. 12.2 Feedback. If you provide feedback, you grant Awee a perpetual, irrevocable, worldwide, royalty-free right to use it without compensation.

13) Disclaimers

13.1 As-is. The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Awee disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. 13.2 AI outputs. Awee does not guarantee AI outputs will be accurate, reliable, or suitable for any purpose. 13.3 Third-party services. Awee is not responsible for third-party services (AI Providers, Stripe, Mailgun), including outages, changes, security incidents, or third-party data handling.

14) Limitation of liability

To the maximum extent permitted by applicable law: a) Awee will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities; and b) Awee’s total liability arising out of or related to the Service will not exceed the amount you paid to Awee for the Service in the 12 months preceding the event giving rise to the claim (or $100 if you paid nothing).

Nothing in these Terms limits liability where it cannot be excluded under applicable law.

15) Indemnity (primarily for business users)

If you use the Service for business purposes (i.e., you are not a Consumer), you agree to indemnify and hold harmless Awee and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • your User Content,
  • your use of the Service, or
  • your violation of these Terms or applicable law.

16) Changes

16.1 Service changes. Awee may modify or discontinue parts of the Service at any time. 16.2 Terms changes. Awee may update these Terms. If changes are material, Awee will provide notice (e.g., via website notice or email). Continued use after the effective date means you accept the updated Terms.

17) Governing law and disputes

17.1 Governing law. These Terms are governed by the laws of Lithuania, excluding conflict of laws rules. 17.2 Courts. Unless mandatory Consumer laws provide otherwise, disputes will be subject to the exclusive jurisdiction of the competent courts in Lithuania.

18) Miscellaneous

18.1 Entire agreement. These Terms and the Privacy Policy form the entire agreement regarding the Service. 18.2 Severability. If any term is invalid or unenforceable, the remainder remains in effect. 18.3 Assignment. You may not assign these Terms without Awee’s consent. Awee may assign these Terms in connection with a merger, acquisition, or sale of assets. 18.4 No waiver. Failure to enforce a provision is not a waiver. 18.5 Export compliance. You agree to comply with applicable export controls and sanctions laws.
